Streetpins.com Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Streetpins.com website, mobile applications and any related services (collectively, the “Services”). The Services are operated by Streetpins.com (“Streetpins”, “we”, “us”, “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

1. Eligibility and User Accounts

1.1 Minimum age

The Services are intended for users who are at least 16 years old. By using the Services, you represent and warrant that:

• you are at least 16 years of age; and
• if you are under the age of majority in your country of residence, you have obtained permission from your parent or legal guardian to use the Services and to accept these Terms.

1.2 Account registration

To use certain features of the Services, you may need to create an account. You agree to:

• provide accurate, current and complete information during registration;
• keep your login credentials confidential and secure; and
• promptly update your information if it changes.

You are responsible for all activities that occur under your account. If you believe your account has been compromised, you must notify us without undue delay.

1.3 Use of the Services

The Services are a graffiti and street art photo and video community. They are provided to you on a personal, non-commercial basis. We grant you a limited, non-exclusive, non-transferable and revocable license to access and use the Services in accordance with these Terms.

2. Description of the Services

Streetpins is an online community for sharing, discovering and discussing photos and videos related to graffiti and street art in urban environments. Features may include, without limitation:

• uploading and sharing photos, videos and short clips related to graffiti and street art;
• viewing, liking, commenting on and otherwise interacting with content from other users;
• battles, contests and other community features;
• maps and geo-location features showing approximate locations of content; and
• push notifications and other app-specific features.

We may add, modify or remove features at any time, at our sole discretion.

3. User Content

3.1 Definition

“Content” means any photos, videos, short clips, text, comments, profile information, and any other material or information that you submit, upload, post or otherwise make available through the Services (“User Content”).

3.2 Ownership

You retain all rights of ownership that you may have in your User Content. Nothing in these Terms is intended to transfer ownership of your User Content to Streetpins or any third party.

3.3 License to Streetpins

By submitting, uploading or posting User Content through the Services, you grant Streetpins a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to:

• host, store and archive the User Content;
• reproduce, adapt, modify, crop and otherwise process the User Content;
• publish, distribute, transmit and make the User Content available to the public;
• display and perform the User Content publicly; and
• create derivative works from the User Content, for example by combining it with other content, adding overlays, text, music, or using it in compilations or promotional materials.

This license exists for the purpose of operating, providing, promoting and improving the Services and our related social media and marketing activities, including on third-party platforms.

3.4 Social media and external use

You expressly agree that the license granted in Section 3.3 includes the right for Streetpins to:

• use your User Content on our official accounts on third-party platforms such as, without limitation, Instagram, Facebook, X/Twitter, TikTok or similar;
• use your User Content in online and offline marketing, editorial content, newsletters and promotional materials for Streetpins; and
• allow our partners and service providers to use your User Content in connection with such activities, under our instructions and subject to appropriate agreements.

You acknowledge that such uses may be made without any payment, credit, or other compensation to you.

3.5 Duration of the license

The license granted to Streetpins under Sections 3.3 and 3.4:

• applies for as long as your User Content is available on or through the Services; and
• continues to apply to the extent necessary for copies or uses of your User Content that already exist at the time you remove your User Content or delete your account (for example, posts on our social media channels, marketing materials, and cached or backup copies created in the ordinary course of our operations).

Removing User Content from your profile or deleting your account will not require us to remove or recall copies of that User Content that have already been used, distributed or published by us.

3.6 No user-to-user license

These Terms do not grant any license to other users to use your User Content outside of the Services. Any such use remains subject to your rights and applicable law.

3.7 Responsibility for User Content

You are solely responsible for your User Content and for any consequences of submitting or publishing it. In particular, you represent and warrant that:

• you are the owner of the User Content or otherwise have all rights, licenses and permissions necessary to grant the license in these Terms;
• your User Content does not infringe or violate any third-party rights, including copyright, trademark, privacy or other personal rights;
• your User Content is accurate to the best of your knowledge and not misleading; and
• your User Content complies with these Terms and all applicable laws and regulations.

Streetpins does not generally verify the ownership or legality of graffiti and street art depicted in User Content. You acknowledge that the creation of graffiti may be subject to legal restrictions, and you are solely responsible for ensuring that your uploads do not infringe any property rights, criminal laws or other legal provisions.

4. Content Rules and Moderation

4.1 Graffiti and street art focus

The Services are exclusively dedicated to graffiti and street art content. You agree to upload only photos, videos or short clips that are meaningfully related to graffiti or street art in urban or similar environments.

4.2 Prohibited content

You must not upload, post or share any User Content that:

• contains hate speech, threats, harassment, bullying or incitement to violence;
• contains pornography or sexually explicit material, or sexual content involving minors;
• contains extreme violence or glorification of self-harm or harm to others;
• is discriminatory on the basis of race, ethnicity, religion, gender, sexual orientation, disability or similar protected characteristics;
• contains spam, scams, fraudulent or deceptive material;
• infringes any copyright, trademark or other intellectual property right;
• violates the privacy or data protection rights of others (for example, by showing identifiable persons without their consent in private contexts);
• encourages or instructs others to commit crimes, vandalism or other unlawful acts; or
• otherwise violates applicable law or these Terms.

4.3 Moderation and review

We reserve the right, but do not have the obligation, to review, monitor, filter and moderate User Content. In particular:

• we may review each upload and decide, at our sole discretion, whether to publish or reject it;
• we may edit, crop or adjust User Content for technical or presentation purposes (for example, resizing or reformatting);
• we may remove or disable access to any User Content at any time, without prior notice and without giving reasons.

Our moderation decisions are final and do not create any entitlement to publication or continued availability of User Content.

4.4 Reporting

If you believe that User Content violates these Terms or infringes your rights, you may contact us using the details provided in our Site Notice. We will review reasonable and complete notices in accordance with applicable law.

5. No Storage or Backup Service

The Services are not intended to be a backup, archiving or long-term storage service. You are responsible for keeping your own backups of your User Content.

We do not guarantee that any User Content will be available on the Services at any time, and we may remove User Content or restrict access to the Services at our discretion. We shall not be liable for any loss of data or content, subject to Section 12 below.

6. Geo-Location and Push Notifications

6.1 Geo-location features

Some features of the Services may use your device’s location data, for example to display maps or show graffiti and street art near you. You can enable or disable location services via your device settings.

By enabling geo-location, you consent to our processing of your location data as described in our Privacy Policy.

6.2 Push notifications

The mobile applications may send you push notifications, such as updates on new content, comments, battles or other activities. You can control push notifications via your device settings or within the app.

7. In-App Purchases and Paid Features

The Services are currently provided free of charge. Should paid features, subscriptions or other paid services be introduced in the future, updated Terms will be communicated to you in advance.

8. Intellectual Property of Streetpins

All rights, title and interest in and to the Services, including but not limited to the design, layout, software, source code, databases, logos, trademarks, graphics and other content provided by Streetpins (excluding User Content), are and remain the exclusive property of Streetpins or its licensors.

You must not:

• copy, modify, distribute, sell or lease any part of the Services; or
• reverse engineer or attempt to extract the source code of any software used in the Services,

unless such restrictions are prohibited by mandatory law or you have our prior written consent.

9. Third-Party Services and Links

The Services may contain links to third-party websites, apps or services that are not owned or controlled by Streetpins. We do not endorse or assume any responsibility for any such third-party services or their content.

Your use of third-party services is at your own risk and may be subject to the terms and privacy policies of those third parties.

10. Term and Termination

10.1 Your right to terminate

You may terminate your use of the Services at any time by:

• deleting your account via the features provided (where available); or
• stopping your use of the Services.

10.2 Our right to terminate or suspend

We reserve the right, at any time and at our sole discretion, to:

• terminate or suspend your account;
• restrict or block your access to all or part of the Services; and
• remove any or all of your User Content,

with or without notice, for any reason or no reason, including but not limited to violation of these Terms or suspected misuse of the Services.

10.3 Deletion of data

If your account is deleted, whether by you or by us:

• we will generally delete or anonymize all User Content associated with your account from the Services; but
• copies of your User Content that have already been used or published by us (for example on social media, in marketing materials, or in backups created in the ordinary course of our operations) may be retained and continue to be used as described in Section 3.5.

11. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend and hold harmless Streetpins and its affiliates, officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable legal fees) arising out of or in any way connected with:

• your access to or use of the Services;
• your User Content; or
• your breach of these Terms or any applicable law.

12. Disclaimer and Limitation of Liability

12.1 No warranty

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we make no representations or warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, availability, security or error-free operation.

In particular, we do not warrant that:

• the Services will be uninterrupted, timely, secure or error-free;
• any defects or errors will be corrected; or
• any content or information obtained via the Services will be accurate or reliable.

12.2 Limitation of liability

To the fullest extent permitted by applicable law, Streetpins and its affiliates, officers, directors, employees and agents shall not be liable for:

• any indirect, incidental, special, consequential or punitive damages; or
• any loss of profits, revenue, data, goodwill or other intangible losses,

arising out of or in connection with your use of or inability to use the Services, whether based on contract, tort (including negligence), strict liability or any other legal theory, even if we have been advised of the possibility of such damages.

Subject to mandatory statutory liability (in particular under German product liability law) and Section 12.3 below, our total aggregate liability arising out of or in connection with the Services and these Terms shall, to the extent permitted by law, be limited to the amount you have paid to us (if any) in the twelve (12) months preceding the event giving rise to the claim.

12.3 Mandatory liability

Nothing in these Terms shall exclude or limit our liability:

• for intent or gross negligence;
• for injury to life, body or health;
• for fraudulently concealed defects; or
• for any other matter for which liability cannot be excluded or limited under mandatory law.

13. Changes to the Services and to these Terms

13.1 Changes to the Services

We may modify, suspend or discontinue any part of the Services at any time, with or without notice, and without liability to you, provided that such changes are reasonable for you or necessary for technical, legal or security reasons.

13.2 Changes to these Terms

We may update or revise these Terms from time to time. If we make changes, we will:

• publish the updated Terms on the Streetpins website and/or in the app; and
• inform registered users by email to the address associated with their account, where appropriate.

Unless otherwise stated, changes will take effect upon publication. By continuing to use the Services after the updated Terms become effective, you agree to be bound by the revised Terms. If you do not agree to the changes, you must stop using the Services and, where applicable, delete your account.

14. Governing Law and Jurisdiction

These Terms and any disputes arising out of or in connection with them or the Services are governed by the laws of the Federal Republic of Germany, excluding its conflict of law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).

If you are a business user, the courts of Germany with jurisdiction at our registered seat shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms or the Services.

If you are a consumer resident in the European Union or the United Kingdom, this choice of law does not deprive you of the protection afforded to you by provisions that cannot be derogated from by agreement under the law of the country where you have your habitual residence. You may also bring legal proceedings in the courts of your habitual residence.

15. Miscellaneous

15.1 Entire agreement

These Terms constitute the entire agreement between you and Streetpins regarding the Services and supersede any prior agreements or understandings.

15.2 Assignment

We may assign or transfer our rights and obligations under these Terms, in whole or in part, to any third party, in particular in connection with a merger, acquisition, restructuring or sale of assets, without your consent. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

15.3 No waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

15.4 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
